TL;DR

  • You must be 18+ and able to enter a binding contract.
  • We provide entrepreneurship education, mentorship, and a community platform. We do not guarantee income, employment, or business outcomes.
  • You own what you create. You grant us a limited license to operate the platform.
  • No illegal use, no harassment, no fraud, no scraping. We can suspend accounts that break these rules.
  • Disputes are resolved by binding individual arbitration in Delaware. Class actions are waived.
  • Our liability is capped at fees you paid us in the prior 12 months, or USD $100 if you paid nothing.

1. Acceptance of Terms

By creating an account, accessing the platform at felonytofounder.fund, felonstofounders.org, or any related domain (the "Services"), or participating in any F2F program, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Services.

2. Eligibility

  • You are at least 18 years old.
  • You have the legal capacity to enter a binding agreement in your jurisdiction.
  • You are not barred from receiving services under U.S. law or the laws of your jurisdiction.
  • You provide accurate, current, and complete registration information and keep it updated.

3. Accounts and Security

  • You are responsible for safeguarding your credentials and for all activity under your account.
  • Notify us immediately at info@felonstofounders.org if you suspect unauthorized access.
  • We may require identity verification (KYC) and may refuse, suspend, or terminate accounts that fail verification.

4. Description of Services

F2F offers, depending on your enrollment tier:

  • Educational content, curricula, and recorded sessions.
  • Mentorship, cohort programming, and community access.
  • Tools and dashboards to launch and operate micro-SaaS businesses.
  • Optional participation in the Agape Fund I and related capital programs, subject to separate written agreements.

4.1 No Professional Advice

F2F content is educational. It is not legal, tax, accounting, investment, medical, or psychological advice. Consult licensed professionals before acting.

4.2 No Outcome Guarantee

We make no representation that you will earn revenue, secure funding, achieve any business milestone, or experience any specific personal outcome.

5. Fees, Donations, and Refunds

  • Fees, tuition, and donation terms are disclosed at the point of purchase.
  • Donations are non-refundable. Tuition and program fees are refundable only as expressly stated in the program-specific agreement or as required by law.
  • We may change pricing prospectively with at least 30 days' notice for recurring charges.

6. User Content and License

"User Content" means anything you submit: posts, code, business plans, pitches, recordings, comments, and submissions to the leaderboard or community.

  • You retain ownership of your User Content.
  • You grant F2F a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, display, adapt, and distribute User Content solely to operate, improve, and promote the Services.
  • You represent that you own or have the rights to your User Content and that it does not violate any law or third-party right.

7. Acceptable Use

You will not:

  • Use the Services for any unlawful purpose, including fraud, money laundering, or sanctions evasion.
  • Harass, threaten, defame, or discriminate against any person.
  • Upload malware, attempt to breach security, or probe for vulnerabilities without written authorization.
  • Scrape, crawl, or harvest data except via documented public APIs.
  • Misrepresent your identity, affiliation, business metrics, or eligibility.
  • Resell, sublicense, or commercially redistribute the Services without our written consent.

8. Third-Party Services

The Services integrate third-party providers (e.g., authentication, payments, analytics, hosting, AI providers, email delivery). Your use of those services is governed by their terms and privacy policies. We are not responsible for third-party acts or omissions.

9. Intellectual Property

  • F2F, its logos, course materials, software, and the look and feel of the Services are owned by F2F or its licensors and are protected by U.S. and international IP laws.
  • We grant you a limited, revocable, non-transferable license to access and use the Services for personal and internal business use during your enrollment.
  • All rights not expressly granted are reserved.

10. DMCA / Copyright

Send infringement notices to info@felonstofounders.org with: (a) identification of the work, (b) the allegedly infringing material and URL, (c) your contact information, (d) a good-faith statement, (e) a statement under penalty of perjury that you are authorized to act, and (f) your physical or electronic signature. We may remove content and terminate repeat infringers.

11. Suspension and Termination

We may suspend or terminate your access at any time, with or without notice, if you breach these Terms, create risk for F2F or other users, or for legitimate business reasons. You may close your account at any time. Sections that by their nature should survive (IP, disclaimers, liability, dispute resolution) survive termination.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. F2F DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • F2F WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.
  • F2F'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID F2F IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) USD $100.
  • F2F IS NOT LIABLE FOR DAMAGES ARISING FROM USER-SIDE HARDWARE FAILURE, COMPROMISED CREDENTIALS, THIRD-PARTY OUTAGES, OR ACTIONS OF OTHER USERS.

Some jurisdictions do not allow these limitations; in those jurisdictions our liability is limited to the maximum extent permitted.

14. Indemnification

You will defend, indemnify, and hold harmless F2F and its officers, directors, employees, contractors, and affiliates from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising from: (a) your User Content, (b) your use of the Services, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

15. Dispute Resolution; Arbitration; Class Waiver

  • Informal Resolution. Before filing a claim, contact info@felonstofounders.org and allow 60 days for good-faith resolution.
  • Binding Arbitration. Any unresolved dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Wilmington, Delaware. Judgment on the award may be entered in any court of competent jurisdiction.
  • Class Action Waiver. Disputes must be brought individually. No class, collective, or representative proceedings are permitted.
  • Opt-Out. You may opt out of arbitration within 30 days of first acceptance of these Terms by emailing info@felonstofounders.org with "Arbitration Opt-Out" in the subject line.
  • Carve-Outs. Either party may seek injunctive relief in court for IP infringement or unauthorized access.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. Subject to Section 15, courts located in New Castle County, Delaware have exclusive jurisdiction.

17. Changes to These Terms

We may update these Terms. Material changes will be announced via the Services or email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

18. Miscellaneous

  • Entire Agreement. These Terms, together with any program-specific agreement and the Privacy Policy, form the entire agreement.
  • Severability. If any provision is unenforceable, the rest remains in effect.
  • No Waiver. Failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. Neither party is liable for delays caused by events beyond reasonable control.
  • Notices. Notices to F2F: info@felonstofounders.org. Notices to you: the email on file.
